These terms govern your use of Vanly (“Service”) at vanlyai.com and any related services we provide. By signing up for early access, you agree to these terms.
Vanly is a product of Goto-Tender Ltd, a company registered in England & Wales (company number 16627586), with registered office at 27 Bates Lane, Helsby, Frodsham, England, WA6 9LN.
Throughout these terms, “Vanly”, “we”, “us”, and “our” mean Goto-Tender Ltd. “You” and “your” mean the person or business signing up.

Vanly is an AI office manager for UK self-employed tradespeople and small trade businesses. It connects to your WhatsApp account to act as a 24/7 virtual receptionist and admin assistant, handling customer enquiries, lead capture, voice-to-quote, voice-to-invoice, payment chasing, and calendar bookings.

To use the operational features, Vanly requires you to connect:
You explicitly authorise these connections through OAuth consent screens at the time of connection. You can revoke any connection at any time via the third-party provider's security settings or by deleting your Vanly account.
Service availability: the operational product is currently in development. Early-access subscribers receive priority access at launch in late 2026. Until launch, the Service provided consists of:
If we do not launch by 31 December 2027, all saved cards will be deleted and any pre-paid amounts (none, in the current model) refunded.

If you cancel and later resubscribe, the lock-in is forfeit and you would resubscribe at the standard price prevailing at that time.
When you sign up for the paid lock-in tier, we use a Stripe SetupIntent to save your payment method. We do not charge you anything at signup. The first charge will occur on or shortly after the Service launch date.
Your bank may show a temporary £0.00 authorisation when you register your card. This is a security check, not a payment. It will not appear as a real transaction on your statement.
Seven (7) days before launch, we will email you a reminder with the exact billing date. On that date:
If a charge fails (insufficient funds, expired card, etc.), Stripe will retry up to 3 times over 7 days. If all retries fail, your subscription will be paused and we will email you to update your payment method. After 14 days of unresolved failure, your subscription is cancelled and the £49 lock-in is forfeit.
Goto-Tender Ltd is not currently VAT-registered. Prices shown for Vanly are inclusive of any applicable taxes — no VAT is added at checkout. If Goto-Tender Ltd becomes VAT-registered in future, we will give you at least 30 days' written notice and updated invoicing. Your £49/month lock-in price would not increase — if VAT becomes due, the £49 would become VAT-inclusive.
You can cancel your early-access registration at any time before the Service launches by replying “cancel” to any email from us, or by emailing hello@vanlyai.com. We will:
No charge is incurred for cancelling before launch.
After launch, you can cancel your subscription at any time. You will continue to have access until the end of the current billing period (30 days from the most recent charge), then your subscription ends.
We do not offer refunds for partial billing periods. Once a monthly charge has been processed, the £49 covers the upcoming 30 days. If you cancel mid-period, you keep access until the period ends but are not refunded for unused days.

To deliver the operational Service, Vanly connects to third-party services on your behalf, with your explicit authorisation:
When you connect Gmail, Microsoft Outlook, Google Calendar, or Microsoft Outlook Calendar to Vanly, you complete an OAuth consent flow with the relevant provider (Google or Microsoft). You explicitly approve the permissions Vanly requests at that time. Specific permissions Vanly may request include:

You can revoke a connection at any time:
After revocation, Vanly will lose access to the relevant third-party data immediately. Existing lead records parsed before revocation remain in Vanly unless you also request deletion.
You agree that:
The Vanly name, logo, brand, software, design, and content are owned by us or licensed to us. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose during your subscription.
Content you provide to Vanly (e.g. your business name, pain points, replies to emails) remains yours. By providing it, you grant us a non-exclusive licence to use it solely to operate and improve the Service for you.
Customer feedback you send us in reply to our emails is treated as non-confidential by default. We may use anonymised, aggregated feedback to improve the Service. We will not publish identifiable feedback (e.g. quotes attributed to you) without your prior consent.
Nothing in these terms excludes or limits our liability for:
Subject to that, our total liability to you in connection with the Service in any 12-month period is capped at the greater of (a) the total amount you paid Vanly in that 12-month period, or (b) £100.
We are not liable for:
You agree to indemnify and hold us harmless from any claim, loss, or damage arising from your breach of these terms, your misuse of the Service, or your violation of any third-party right.
We aim for high availability but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security, or upgrades, with or without notice.
We may add, modify, or remove features at our discretion. If a change materially reduces the value of the Service for paid early-access customers (e.g. removing a core feature you signed up for), we will give 30 days' notice and offer cancellation with a pro-rata refund of the current month.
We may suspend or terminate your account if you:
On termination, we will delete your saved Stripe card and your signup record within 30 days, retaining only what is necessary for legal/tax compliance.
We may update these terms from time to time. The “Last updated” date at the top reflects the most recent version. Material changes affecting paid customers will be notified by email at least 30 days before they take effect.
If you do not agree to a change, you may cancel before it takes effect under the cancellation terms above.
How we handle your personal data is described in our Privacy Policy, which forms part of these terms by reference.
These terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior communications.
If we do not enforce a right under these terms, that does not waive our right to enforce it later.
If any part of these terms is held unenforceable by a court, the remaining parts continue in force.
You may not assign your rights under these terms. We may assign ours to a successor entity (e.g. on a sale of the business), with notice.
These terms do not give rights to anyone other than you and us under the Contracts (Rights of Third Parties) Act 1999.
These terms are governed by the laws of England & Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England & Wales, except that nothing prevents you from bringing proceedings in your local jurisdiction where required by mandatory consumer-protection law.
